HomeThese Terms of Use govern your access to and use of Community Hub services provided by Halmax Pty Limited (ABN 61 605 725 335) of PO Box 7190, Hutt Street, Adelaide SA 5000, Australia ("Halmax", "we", "us", "our").
By registering for or using Community Hub, you agree to be bound by these Terms. They apply to all users, including community groups, clubs, councils, and other organisations ("Organisations") and their staff, as well as members of those organisations who receive communications through Community Hub.
Please also read our Privacy Policy and Spam Policy, which are incorporated into these Terms by reference.
When registering, you must provide accurate, complete, and current information about your organisation and its authorised contacts. You agree to keep this information up to date.
You are responsible for maintaining the security of your account. You must:
Your organisation is responsible for all actions taken by anyone who accesses Community Hub using your account credentials.
Content: You are solely responsible for all information, messages, and content you submit or distribute through Community Hub ("Your Content"). You warrant that Your Content:
Recipient consent: You must only send communications to individuals who have opted in to receive them from your organisation. You are responsible for obtaining and maintaining valid consent records. Halmax does not take responsibility for the content of any information you distribute through Community Hub.
Spam: You agree to comply with Community Hub's Spam Policy and all applicable anti-spam legislation, including Australia's Spam Act 2003. You must not use Community Hub to send unsolicited communications.
Privacy: You agree to comply with Community Hub's Privacy Policy and all applicable privacy legislation in your jurisdiction. As the data controller for your members' information, you are responsible for ensuring your use of Community Hub complies with your own privacy obligations.
Prohibited uses: You must not use Community Hub to:
Halmax will use all reasonable efforts to ensure that your communications are distributed on time in accordance with your instructions. However, Halmax does not guarantee uninterrupted or error-free service and is not responsible for:
Halmax will provide you with access to your subscriber lists, unsubscribe records, and stored distribution lists, and will continue to provide Community Hub services provided you comply with these Terms.
Force majeure: Halmax will not be in breach of these Terms for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, power or internet outages, or third-party service failures. We will use reasonable efforts to resume normal service as soon as practicable.
New organisations are offered a free 15-day trial of Community Hub. During the trial period:
At the end of the trial, continued access requires a paid subscription. If you do not subscribe, your account will be deactivated. Your data will be retained for 30 days after deactivation, during which time you may request an export by contacting us at info@community-hub.net. After 30 days, your data will be deleted.
Community Hub is available on a monthly subscription basis. All amounts are in Australian Dollars (AUD) and are exclusive of GST.
Invoicing: Halmax will issue invoices by the 7th day of each month.
Payment terms: Payment is due within 7 days of receipt of invoice.
Late payment: If payment is not received on time, Halmax reserves the right to apply a late payment fee of 1% of the outstanding balance for each month (or part thereof) that payment remains overdue.
Pricing changes: Halmax may change its pricing from time to time. We will give you at least 30 days' written notice before any price increase takes effect. Continued use of Community Hub after the effective date constitutes acceptance of the new pricing.
GST: GST will be added to invoices as required by Australian law and shown as a separate line item.
Termination for breach: Halmax may suspend or terminate your access immediately if you breach these Terms (including the Spam Policy or Privacy Policy). No refund of fees paid will be provided in the event of termination for breach.
Suspension for non-payment: If you fail to pay invoices in accordance with the payment terms, Halmax may suspend your access until all outstanding amounts are paid. Continued non-payment may result in termination of your account.
Termination by Halmax for other reasons: If Halmax intends to discontinue your services for any reason other than breach or non-payment, Halmax will give you at least 30 days' written notice. Any fees paid in advance for the period beyond the termination date will be refunded.
Termination by you: You may cancel your Community Hub subscription at any time by providing 30 days' written notice to info@community-hub.net.
You retain full ownership of all data you upload or create within Community Hub, including member lists, message content, and event information ("Your Data"). Halmax does not claim any ownership of Your Data.
You grant Halmax a limited, non-exclusive licence to store, process, and transmit Your Data solely for the purpose of providing the Community Hub service to you. This licence ends when your account is closed.
You may request an export of Your Data at any time during your subscription, or within 30 days of account closure, by contacting us at info@community-hub.net. Following account closure, data will be deleted in accordance with our Privacy Policy.
Halmax owns all intellectual property rights in the Community Hub platform, including its software, design, text, and images at https://www.community-hub.net. You may not copy, reproduce, modify, distribute, or sublicense any part of Community Hub without our prior written consent. You may retain a temporary copy of pages in your browser cache for your own authorised use.
You retain all intellectual property rights in Your Content. Nothing in these Terms transfers ownership of Your Content to Halmax.
To the fullest extent permitted by law, Halmax will not be liable for any:
Where Halmax's liability cannot be excluded by law, our liability is limited, to the extent permitted, to re-supplying the affected services or paying the reasonable cost of having those services re-supplied.
Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law or any other applicable legislation that cannot be excluded by agreement. This clause does not apply to the extent it would render any part of these Terms void under the Australian Consumer Law.
You agree to indemnify and hold harmless Halmax and its officers, employees, and contractors from and against any claim, loss, damage, cost, or liability (including reasonable legal costs) arising from:
Community Hub is provided with reasonable care and skill. To the extent permitted by law, Halmax makes no warranty as to the accuracy, timeliness, fitness for purpose, or completeness of the service, beyond what is required under the Australian Consumer Law.
You may link to the Community Hub website provided the link does not misrepresent your relationship with Halmax, does not damage the reputation of Halmax or Community Hub, and complies with all applicable laws.
Halmax reserves the right to update these Terms from time to time. When we make material changes, we will notify registered users by email and update the "Last Updated" date at the top of this page. Your continued use of Community Hub after notification constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of South Australia, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of South Australia for any dispute arising under these Terms. Nothing in this clause limits any non-excludable rights you may have under the laws of your own jurisdiction.
